Article I: Scope
Section 1: The Bylaws detail the regulatory practices and management
procedures of the Sacramento Chapter of the American Society for
Training and Development (SASTD) subject to the Constitution.
Article II: Membership
Section 1: Individuals rather than organizations hold chapter membership.
Membership dues are not transferable between individuals or to or
from other ASTD chapters.
Section 2: Student membership dues are NOT transferable between individuals
or to or from other ASTD chapters.
Section 3: Corporate members can change the individuals designated
to hold membership twice a year as attrition dictates.
Article III: Parliamentary Procedures
Section 1: The presiding officer will prescribe the order of business
at all meetings of the Chapter and the Board. Parliamentary procedure
in all meetings of the association shall be in accordance with
Robert’s
Rules of Order.
Article IV: Meetings
Section 1: Regular meetings of the Chapter are held monthly as designated
by the Board.
Section 2: Special meetings can be called by the President or by
any Board member, or upon written of five percent (5%) of the chapter.
The
President will call a meeting within thirty (30) days after the request
by the members is received. The purpose of the meeting will be stated
in the call with at least ten (10) days written notice given.
Section 3: Twenty-five percent (25%) of the membership shall constitute
a quorum.
Section 4: The Board will meet a minimum of twelve (12) times per
year.
Article V: Dues
Section 1: Individual Membership - Annual chapter member dues will
be $75.00 for individual members. An individual membership year
begins the month in which the dues payment was received.
Section 2: Student Membership - Full time students providing documentation
of full time student status will pay annual chapter dues of $30.00
Section 3: Corporate Membership - Organizations may enroll three
(3) members for the total membership dues of two (2) members. Each
corporate
member will complete an application and all applications must be
submitted together. Corporate members hold full membership privileges
the same
as individual members.
Article VI: Officers, Committees, and Sub-Groups
Section 1: The titles and functions of the officers are:
A. President - The President presides at all meetings of the Chapter
and the Board, represents the Chapter at all official functions,
directs the administration
of the Chapter business and serves as the ex-officio member of all committees.
The President may create special task forces with the approval of the Board.
B. President-Elect - The President-Elect acts on behalf of the President
in his or her absence. The President-Elect is responsible for the Chapter’s
leadership continuity, to include transition and succession planning and
leadership development. The President-Elect oversees activities of the Student
Division,
and also any Professional Practice Area groups that may be formed. The President-Elect
coordinates the SASTD Chapter Awards Program to monitor, document, and report
Chapter achievements on a local, regional, and national basis.
C. Director of Programs - The Director of Programs plans, coordinates,
supervises, and evaluates monthly chapter meetings and speakers. The Director
of Programs
may appoint a committee as necessary to fulfill the responsibilities of
the office. The Director of Programs operates within the budgetary guidelines
established by the Board approved budget and/or budgets subsequently amended
by the Board.
D. Director of Special Events - The Director of Special Events plans, coordinates,
supervises, and evaluates special Chapter sponsored events, workshops,
and seminars separate from the monthly Chapter program meeting. The Director
of Special Events may appoint a committee as necessary to fulfill the responsibilities
of the office. The Director of Special Events operates within the budgetary
guidelines established by the Board approved budget and/or budgets subsequently
amended by the Board.
E. Director of Membership Retention - The Director of Membership Retention
is responsible for enhancing the individual member relationship with
the organization. The Director of Membership Retention may appoint a
committee as necessary to fulfill the responsibilities of the office.
The Director of Membership Retention operates within the budgetary guidelines
established by the Board approved budget and/or budgets subsequently
amended by the Board.
F. Director of Membership Recruitment - The Director of Membership Recruitment
is responsible for member recruitment, welcome, and orientation. The
Director of Membership may appoint a committee as necessary to fulfill
the responsibilities of the office. The Director of Membership Recruitment
operates within the budgetary guidelines established by the Board approved
budget and/or budgets subsequently amended by the Board.
G. Director of Finance - The Director of Finance documents, reports,
and maintains the Chapter financial records. The Director of Finance
disburses funds in accordance with the Board approved budget and in
coordination with the President. The Director of Finance may appoint
a committee as necessary to fulfill the responsibilities of the office.
H. Director of Administration - The Director of Administration documents,
reports, and maintains Chapter records including Chapter meeting minutes
and correspondence. The Director of Administration oversees the activities
of the Newsletter Editor and other formal methods of communications
with the membership. (Website, letters, etc.)
I . Director of Communication and Technology - The Director of Communication
and Technology analyzes the Chapter's needs for communication technology.
Also, the Director supervises and directs the maintenance, editing,
and improvement of the Chapter Web Site. The director recommends to
the board changes and improvements to the Chapter's information technology.
J . Immediate Past President- The Immediate Past President provides
counsel and support to the Chapter Leadership Team (Board of Directors/Chapter
Officers) for continuity of leadership. The Immediate Past President
helps the Chapter make decisions by providing a historical perspective
and advises and counsels the Leadership Team regarding present development
as they pertain to past activities. The Immediate Past President performs
special assignments for the President and/or Leadership Team and provides
support for the President-Elect in leadership development and during
the nominating process for new Board officers.
Section 2: Committee Chairs - The committee chairs are Chapter members
and are appointed by the responsible Chapter officer. The committee chair
appoints the committee members. The responsible Chapter officer authorizes
the committee expenses in accordance with the budgetary guidelines established
by the Board approved budget and/or budgets subsequently amended by the
Board.
Section 3: The responsible officer prepares written assignments of duties
for the committees for approval by the Board.
Section 4: Professional Practice Area groups - Professional Practice
Area groups may be established in accordance with the Chapter Constitution
and Bylaws. Their structure, management, and financial operation must
be consistent with the educational and non-profit nature of the Chapter.
The responsible Chapter officer authorizes expenses in accordance with
budgetary guidelines established by the Board approved budget and/or
budgets subsequently amended by the Board. This Chapter refers to Professional
Practice Area groups as Special Interest Groups.
